By far the biggest error in upstream oil and gas contracts is a clear disconnect between the essential parts of the contract. Scopes do not correlate to pricing schedules, and the latter is often overridden by the T&C, which contain standard template wordings and - classic danger - take precedence over the rest of the contract. Lawyers draft terms and conditions of the templates for the future application so no specific scope or pricing arrangement can be taken into account at the time of drafting. As a result, mere cut and paste of templated T&C into the contract for specific scope and specific rates brings upstream sector to a disastrous consequences, where contracts do not serve their purpose. Learn to identify the most impactful gaps of “standard” contract engineering and eliminate risk of not having a clear contractual governance, when it is most needed.
