This interactive session will provide a practical approach to situations when a contract cannot be honoured due to the Force Majeure event.  The consequences of the COVID-19 outbreak for the energy sector have been wide reaching, with issues such as workers self-isolating, rig closures and disrupted supply chains. Contracts in the oil and gas upstream sector are extremely complex and they establish numerous concurrent obligations of the parties. Yet provisions related to termination and suspension of the services, work or supplies are often overlooked. The parties sign contracts where such provisions are “standard”, which means they don’t reflect the real scenarios that may occur if a specific contract is suspended or terminated. As a result, the parties not only face a difficult situation of termination or suspension, they end up resolving interpretation disputes, navigating the “standard” wordings that have never been adjusted to meet commercial and technical specifics of the scope. This session will provide important updates in common law on the topic of termination, which influenced upstream oil and gas sector.

By far the biggest error in upstream oil and gas contracts is a disconnect between the essential parts of the contract. Scopes often do not correlate with pricing schedules, and the latter is often overridden by the T&C, which in turn contain standard template wordings and – classic danger – take precedence over the rest of the contract. Lawyers draft terms and conditions of contract templates for their future application and no specific scope or pricing arrangements can be taken into account when they draft. As a result, mere cut and paste of template T&C to specific scope and specific rates of schedule brings upstream sector to disastrous consequences, where contracts do not serve their purpose. Learn to identify the most impactful gaps of “standard” contract engineering and eliminate risk of not having clear contractual governance, when it is most needed.
