Contracts in the oil and gas upstream sector are extremely complex and establish numerous concurrent obligations of the parties. This interactive session will provide a practical approach to situations when a contract cannot be honoured due to the Force Majeure event. The consequences of the COVID-19 outbreak for the energy sector have been wide reaching, with issues such as workers self-isolating, rig closures and disrupted supply chains. A number of oil and gas companies faced an inability to fulfil their contractual obligations, which caused them to invoke “force majeure” provision of contracts. This session will cover critical aspects of contractual concept called Force Majeure, application of which has direct effect on parties’ commercial outcomes.

Termination and Suspension Provisions 16 July 2024
Date: 16 July 2024
Choose time: 15:00 Dubai or 15:00 Mexico City
Price: 85$
Format – online
Contracts in the oil and gas upstream sector are extremely complex and they establish numerous concurrent obligations of the parties. Yet provisions related to termination and suspension of the services, work or supplies are often overlooked. The parties sign contracts where such provisions are “standard”, which means they don’t reflect the real scenarios that may occur if a specific contract is suspended or terminated. As a result, the parties not only face a difficult situation of termination or suspension, they end up resolving interpretation disputes, navigating the “standard” wordings that have never been adjusted to meet commercial and technical specifics of the scope. This session will provide important updates in common law on the topic of termination, which influenced upstream oil and gas sector.
Commercial Impact of Contractual Discrepancies 18 July 2024
Date: 18 July 2024
Choose time: 15:00 Dubai or 15:00 Mexico City
Price: 85$
Format – online
By far the biggest error in upstream oil and gas contracts is a disconnect between the essential parts of the contract. Scopes often do not correlate with pricing schedules, and the latter is often overridden by the T&C, which in turn contain standard template wordings and – classic danger – take precedence over the rest of the contract. Lawyers draft terms and conditions of contract templates for their future application and no specific scope or pricing arrangements can be taken into account when they draft. As a result, mere cut and paste of template T&C to specific scope and specific rates of schedule brings upstream sector to disastrous consequences, where contracts do not serve their purpose. Learn to identify the most impactful gaps of “standard” contract engineering and eliminate risk of not having clear contractual governance, when it is most needed. With five stories from real projects, you will be able to sharpen your contract drafting skills.

Vijayan Moolayil
Contracts Manager at Dubai Petroleum
I recently attended Olga’s O&G Upstream Contracts Masterclass which was rich in content and contemporary data. Olga took great efforts to deliver a tailor made course considering our specific requirements, this was of great value to our teams with diverse experience in contracts. Olga’s enthusiasm and humour ensured that we stayed engaged despite the heavy legal topics and online delivery. The final test was challenging, unlike the usual ‘tick-the-box’ exercises we come across with other providers; Olga had carefully crafted the questions to maintain the high standards of course objectives. Highly recommended for all levels of Upstream O&G Contracts professionals 👍🏻

I had the opportunity to attend Olga’s first virtual class on ‘Understanding Terms & Conditions in Upstream O&G’. As a contracts specialist in this industry, this course had a direct linkage to my work and turned out to be extremely beneficial for me. Olga is an incredible trainer. She brings forward her vast experience in the industry through this 3 day course. All the concepts are made easier to understand through illustrations, practical examples and exercises. Olga makes the course very interactive and manages to address and clarify all related queries. I highly recommend Olga as a trainer and a mentor 🙂
